// 01Use of the service

You can use DealArena for any lawful sales / business-development purpose. You can't use it to:

• Send unsolicited bulk email in violation of CAN-SPAM, CASL, or equivalent law in your jurisdiction.
• Scrape, mirror, or resell the product or any data not yours.
• Reverse-engineer the AI agents to extract our prompt scaffolds (they're already MIT on GitHub, just ask).
• Operate a competing CRM on top of our infrastructure (we will notice).
• Use the dialer to harass, threaten, or auto-call past a request to stop.

If you do, we'll send one warning email. If it continues, we suspend the account and refund the unused balance.

// 02Your account

You're responsible for keeping your password secure. Enable MFA, it's free, on every plan, and takes 40 seconds. If you suspect a breach, email security@dealarena.io.

One person per seat. Sharing logins across teammates is a breach of these terms and also bad practice.

// 03Your data

Your data is yours. We don't claim a license to it beyond what's needed to run the product (process it, back it up, show it to you, send it through the integrations you connect).

We do not train AI models on your data. See Privacy §04.

We don't sell, license, or share your data with third parties except the subprocessors listed on the Security page.

// 04Payment

• Free tier: $0 forever, no card. The free tier IS the trial, full pipeline CRM with no expiration.
• Pricing: Solo $147/seat/month, Pro $397/seat/month sticker, Founder's Edition $247/seat/month for the first 100 seats (sunset Q4 2026). Annual = two months free. 25+ seats triggers Enterprise pricing automatically.
• Founder's Edition lock: existing Founder's Edition customers are grandfathered at $247/seat indefinitely, even after Q4 2026 sunset.
• AI usage cap (Pro): hard cap at $550/month equivalent per seat. Soft warning at 80%, hard pause at 100%. Cap-increase requests reviewed by admin within 24h.
• Currency: USD. Card or ACH (US-only on ACH).
• Taxes: excluded from listed price. Sales tax / VAT calculated at checkout based on your billing address.
• Refunds: we don't pro-rate mid-month, but if you cancel and the product wasn't what you needed, email tyler@dealarena.io and we'll talk. Tyler has refunded plenty.

// 05Cancellation

One click in Settings → Billing → Cancel. The account converts to read-only export mode for 90 days while you pull your data. After 90 days the account and data are deleted. Encrypted backups expire on a 30-day rolling window after that.

No "downgrade tax." No 7-day waiting period to receive your own data. No "your data is being prepared, we'll email you a download link" runaround.

// 06The League

The League is an opt-in feature. Joining means we may show your aggregate, system-recorded performance metrics (calls, deals, conversion) to vetted angel investors during a cycle. No personal data, no contact lists, no deal contents, just the numbers and your handle.

You can leave at any time. Leaving mid-cycle removes you from active matching but doesn't unwind a match already made.

DealArena does not take a finder's fee, equity, or any cut from a placement. The full mechanic is on the League page.

// 07Warranty & liability

The service is provided "as is." We make no warranty that it will be uninterrupted, bug-free, or that it will close your deals for you. We try really hard on all three.

Liability cap: the lesser of (a) what you paid us in the last 12 months, or (b) $5,000. We carry $2M of E&O insurance backing this.

This cap doesn't apply to gross negligence, willful misconduct, or breach of confidentiality on our part.

// 08Law & disputes

These terms are governed by New Jersey law. Disputes go to binding arbitration in Camden County, NJ, except either party may bring a small-claims action.

You can opt out of arbitration within 30 days of signup by emailing tyler@dealarena.io with the subject "opt-out arbitration." We won't ask why.

// 09Changes

Material changes get a 30-day email heads-up. Full version history at github.com/dealarena/legal/terms.md, every change is a Git commit with a timestamp and a reason.
